1. Overview

This Service Agreement (“Agreement”) outlines the terms and conditions under which ViCoRea LLC (“Company,” “we,” “our,” or “us”) provides services to clients (“Client,” “you,” or “your”).

By engaging our services, you agree to the terms outlined below.

2. Services Provided

ViCoRea LLC provides creative and digital services including, but not limited to:

  • Website Design & Development

  • Branding & Identity

  • Digital Communication & Marketing Support

  • E-commerce Development

  • Website Hosting & Maintenance

All services are customized based on the agreed scope of work.

3. Project Scope

Each project will include a clearly defined scope, outlined in a proposal or written agreement.

  • Deliverables

  • Timeline

  • Revisions

  • Pricing

Any work outside the agreed scope may require additional fees.

4. Client Responsibilities

To ensure timely and successful project completion, the Client agrees to:

  • Provide all required content (text, images, branding assets)

  • Respond to communication and feedback requests in a timely manner

  • Ensure all provided materials are legally owned or licensed

Delays in providing content or approvals may impact project timelines.

5. Payment Terms

  • A deposit may be required before project commencement

  • Remaining balances are due according to the agreed payment schedule

  • Monthly services (hosting, maintenance, etc.) are billed on a recurring basis

Failure to make payments may result in:

  • Project delays

  • Suspension of services

  • Removal of website access (if applicable)

6. Maintenance Plans (If Applicable)

For clients enrolled in a maintenance plan:

  • Includes ongoing updates, edits, and support

  • “Unlimited updates” applies to reasonable requests within the existing website structure

  • Does NOT include:

    • Full redesigns

    • New website builds

    • Major functionality changes

All requests are handled in a timely and prioritized manner.

7. Revisions & Approvals

  • Revisions are included as outlined in the project scope

  • Additional revisions beyond scope may incur fees

  • Final approval indicates acceptance of deliverables

Once approved, additional changes may be treated as new work.

8. Turnaround Time

Project timelines are estimates and depend on:

  • Scope complexity

  • Client responsiveness

  • Third-party integrations

ViCoRea LLC is not responsible for delays caused by lack of client communication or external factors.

9. Third-Party Services

Projects may involve third-party tools or platforms (e.g., hosting providers, plugins, payment processors).

ViCoRea LLC is not responsible for:

  • Third-party outages or failures

  • Changes in pricing or policies

  • Platform limitations

10. Intellectual Property

A. ViCoRea Ownership

All preliminary designs, concepts, and materials remain the property of ViCoRea LLC until full payment is received.

B. Client Ownership

Upon full payment:

  • The Client owns the final approved deliverables

  • ViCoRea retains the right to showcase work in its portfolio

11. Termination

Either party may terminate services with written notice.

  • Client is responsible for payment of all work completed up to termination

  • No refunds will be issued for completed or in-progress work

12. Disclaimer

All services are provided “as is.”

ViCoRea LLC does not guarantee:

  • Specific business results

  • Increased revenue or conversions

  • Search engine rankings

13. Limitation of Liability

To the fullest extent permitted by law, ViCoRea LLC shall not be liable for:

  • Indirect or consequential damages

  • Loss of data, revenue, or business

  • Issues related to third-party services

14. Indemnification

The Client agrees to indemnify and hold harmless ViCoRea LLC from any claims arising from:

  • Client-provided content

  • Misuse of services

  • Violation of laws or regulations

15. Governing Law

This Agreement shall be governed by the laws of the State of Texas, United States.

16. Updates to Agreement

ViCoRea LLC reserves the right to update this Agreement at any time. Updates will be posted on this page.
